Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at soundsynthai.life (the "Site") and form part of the framework under which SoundSynth AI Studio Inc. ("SoundSynth AI," "we," "us") provides professional voice synthesis and related services ("Services"). By accessing the Site or engaging Services, you agree to these Terms. If you do not agree, do not use the Site or Services.
Separate written agreements, statements of work, or master service agreements ("MSA") between you and SoundSynth AI prevail over these Terms where they conflict with respect to paid engagements. These Terms apply to casual Site use and general contractual baseline matters.
1. Eligibility and accounts
You must have the legal capacity to enter binding contracts to use our Services. If you interact on behalf of an organisation, you represent that you have authority to bind that organisation. Some client portals may require credentials; you are responsible for safeguarding login details and notifying us of unauthorised access.
2. Website use
You may browse the Site for lawful, personal, or internal business evaluation purposes. You agree not to:
- Attempt to gain unauthorised access to our systems, networks, or client areas;
- Introduce malware, scrape content at scale, or interfere with Site availability;
- Misrepresent your identity or affiliation when submitting inquiries;
- Use the Site to distribute unsolicited commercial messages or unlawful material;
- Reverse engineer, decompile, or extract source code except where permitted by applicable law.
We may suspend or restrict access if we reasonably believe you have violated these Terms or pose a security risk.
3. Services and proposals
Descriptions on the Site are illustrative. Formal scope, deliverables, timelines, fees, and acceptance criteria are defined in signed quotes, statements of work, or MSAs. A project begins when both parties execute the applicable agreement and any required deposit is received unless otherwise stated.
We reserve the right to decline projects that involve unlawful impersonation, unlicensed use of third-party likeness or voice, deceptive synthetic media, or applications incompatible with our ethical guidelines. We may terminate active work if you breach usage restrictions after written notice and a reasonable cure period where practicable.
4. Client responsibilities
You agree to provide accurate briefs, timely feedback, and necessary approvals. Delays in client-side review may shift delivery dates without penalty to SoundSynth AI. You are responsible for obtaining rights to reference materials, scripts, trademarks, and brand assets you supply. You will deploy synthetic voices in compliance with applicable disclosure, advertising, and consumer protection laws in your jurisdictions.
5. Intellectual property
Unless otherwise agreed in writing:
- SoundSynth AI retains ownership of pre-existing tools, models, methodologies, patch documentation templates, and general know-how used to perform Services;
- Upon full payment, you receive the license scope specified in your project agreement — typically a perpetual, non-exclusive license to use delivered audio assets and associated voice configurations for stated channels and territories;
- We may display anonymised or credited work in our portfolio unless you opt out in writing before delivery;
- Feedback you provide may be used to improve our processes without obligation to you.
No license is granted to resell raw voice models or synthesis parameters as standalone products competing with SoundSynth AI unless explicitly permitted.
6. Fees and payment
Fees are quoted in Canadian dollars unless otherwise noted. Invoices are due per contract terms — typically net thirty days for established clients. Late payments may accrue interest at 1.5% per month (or the maximum permitted by law) and may result in suspension of deliverable access. You are responsible for applicable taxes. Deposits are non-refundable once production has commenced except where required by law or expressly stated in your agreement.
7. Revisions and acceptance
Standard projects include a defined number of revision rounds specified in the statement of work. Additional iterations are billed at published hourly or sprint rates. Deemed acceptance may apply if you deploy assets commercially or fail to reject deliverables within the review window stated in your agreement.
8. Confidentiality
Each party may receive confidential information from the other. The receiving party will use such information only to perform obligations under the engagement and will protect it with reasonable care. Confidentiality obligations survive termination except for information that becomes public through no fault of the receiving party, was independently developed, or must be disclosed by law after notice where permitted.
9. Warranties and disclaimers
We warrant that Services will be performed in a professional manner consistent with industry standards for custom voice synthesis. Except as expressly stated in a signed agreement, the Site and any preview materials are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant uninterrupted Site operation or that synthetic voices will meet every subjective aesthetic preference. Technical compatibility with third-party platforms remains your responsibility unless explicitly scoped.
10. Limitation of liability
To the fullest extent permitted by applicable law, SoundSynth AI and its directors, employees, and contractors will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, or business interruption, arising from the Site or Services even if advised of the possibility. Our aggregate liability for any claim relating to a specific project will not exceed the fees paid by you for that project in the twelve months preceding the claim, except where liability cannot be limited under Canadian consumer protection or employment law.
11. Indemnification
You will indemnify and hold harmless SoundSynth AI against claims, damages, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of deliverables, infringement arising from materials you supplied, or violation of applicable law in your deployment of synthetic voices.
12. Privacy
Our collection and use of personal information is described in our Privacy Policy, which complies with PIPEDA and BC PIPA. By using the Site or Services, you acknowledge that policy.
13. Third-party services and links
The Site may reference or integrate third-party tools. We are not responsible for third-party terms, privacy practices, or availability. Your use of external platforms is at your own risk.
14. Governing law and disputes
These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. The courts of British Columbia, sitting in Vancouver, have exclusive jurisdiction over disputes arising from these Terms or the Site, except where mandatory consumer protection rules in your province grant you non-waivable rights to bring proceedings elsewhere.
Before initiating formal proceedings, the parties agree to attempt good-faith resolution by contacting [email protected] and allowing thirty days for response.
15. Force majeure
Neither party is liable for delay or failure to perform due to events beyond reasonable control, including natural disasters, widespread network outages, labour disputes, or government actions, provided the affected party notifies the other promptly and resumes performance when practicable.
16. Changes
We may modify these Terms by posting an updated version on the Site with a revised effective date. Continued use after changes constitutes acceptance. Material changes to active paid engagements require agreement through your contract channels.
17. Severability and entire agreement
If any provision is unenforceable, the remainder stays in effect. These Terms, together with applicable project agreements and the Privacy Policy, constitute the entire agreement regarding Site use unless superseded by a signed MSA.
